1. Introduction

These Terms and Conditions ("Terms") govern the provision of services by RainyDay Accounting Solutions, a sole trader practice operated by Lorraine Carey, based in Co. Kerry, Ireland ("we", "us", "our"). By engaging our services or using our website, you ("the Client") agree to be bound by these Terms.

Please read these Terms carefully before engaging our services. If you have any questions, contact us before proceeding.

2. Services Provided

We offer the following professional services:

•       Bookkeeping

•       Payroll processing

•       VAT return preparation and filing

•       Income tax return preparation and filing

•       Management accounts preparation

The specific services to be provided to you will be agreed in writing (by email or engagement letter) prior to commencement of work.

3. Engagement

Our engagement begins when you accept a proposal or engagement letter from us, or when you instruct us to commence work. An engagement letter or service agreement may be issued for certain services and will form part of these Terms when signed or accepted.

4. Client Responsibilities

As a client, you agree to:

•       Provide us with complete, accurate, and timely information and documentation required to perform our services

•       Inform us promptly of any changes in your circumstances that may affect your tax or financial position

•       Review and approve all returns, accounts, and filings before submission

•       Meet agreed deadlines for providing information to allow us to meet statutory filing deadlines

We accept no liability for penalties, interest, or losses arising from your failure to provide accurate or timely information.

5. Fees and Payment

5.1 Fee Basis

Fees will be agreed in advance and set out in your engagement letter or proposal. Fees may be charged on a fixed monthly basis, per service, or at an agreed hourly rate.

5.2 Invoicing

Invoices will be issued on a monthly basis or upon completion of work, as agreed. All fees are subject to VAT at the applicable rate where required.

5.3 Payment Terms

Payment is due within 14 days of the invoice date unless otherwise agreed in writing. We reserve the right to charge interest on overdue invoices at a rate of 2% per month.

5.4 Non-Payment

We reserve the right to suspend or terminate services if invoices remain unpaid beyond 30 days. We are not responsible for any penalties, losses, or missed deadlines resulting from suspension of services due to non-payment.

6. Confidentiality

We treat all client information as strictly confidential. We will not disclose your information to any third party except:

•       As required by law or regulatory obligation (e.g. Revenue Commissioners)

•       With your express written consent

•       To subcontractors or software providers necessary to perform our services, under confidentiality obligations

This obligation of confidentiality continues after the termination of our engagement.

7. Data Protection

We process your personal data in accordance with our Privacy Policy, available on our website at www.rainydayaccounting.ie. By engaging our services, you consent to the processing of your data as described in that policy.

8. Intellectual Property

All work product, reports, accounts, and documents produced by RainyDay Accounting Solutions remain our intellectual property until full payment has been received. Upon receipt of full payment, ownership transfers to you.

9. Limitation of Liability

Our services are provided with reasonable skill and care. However, our total liability to you in respect of any claim arising out of or in connection with our services shall be limited to the total fees paid by you to us in the 12 months preceding the claim.

We are not liable for:

•       Losses arising from inaccurate or incomplete information provided by you

•       Penalties, surcharges, or interest imposed by Revenue or other authorities where you have failed to provide timely or correct information

•       Any indirect, consequential, or economic loss

Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.

10. Professional Standards

RainyDay Accounting Solutions operates in accordance with applicable Irish law and professional standards. We are not a regulated audit firm and do not provide statutory audit services. Tax advice is provided as part of our bookkeeping and accounts services; for complex tax planning matters, we may recommend specialist tax advisors.

11. Termination

Either party may terminate the engagement by giving 30 days' written notice. In the event of termination:

•       You remain liable for all fees for work completed up to the termination date

•       We will return all original documents and data provided by you

•       We reserve the right to retain copies of records as required by law

We may terminate immediately in the event of non-payment, breach of these Terms, or if we reasonably believe that continuing the engagement would be unlawful or contrary to professional standards.

12. Complaints

We aim to provide a high standard of service at all times. If you are unhappy with any aspect of our services, please contact us in the first instance:

We will acknowledge your complaint within 5 business days and aim to resolve it within 28 days.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Irish courts.

14. Changes to These Terms

We reserve the right to update these Terms from time to time. Updated Terms will be posted on our website. Continued engagement of our services after any change constitutes acceptance of the updated Terms.
